TERMS & CONDITIONS

These Terms & Conditions ("Terms") are a legal agreement between you and Statement Makers, Inc. (if you are based in the United States) or Statement Makers, Limited (if you are based in the United Kingdom or Europe) (collectively, "Statement," "we," "us," or "our"). They govern your use of the Statement mobile app, website at statementapp.com, and all related services (collectively, the "Platform").

By creating an account or using the Platform, you agree to these Terms. If you don't agree, don't use Statement.

1. What Statement is

1.1 Statement is a social platform where every post is backed by a verified bank transaction. Users connect a bank account through our open banking partners - Plaid (US) and Yapily (UK) - and share real transactions as posts called "Statements."

1.2 The Platform includes the Statement mobile app (available on iOS and Android) and the website at statementapp.com.

1.3 Statement is operated by Statement Makers, Inc., a company registered in Delaware, United States, with its registered office at One Sansome Street, San Francisco, CA 94104; and Statement Makers, Limited, a company registered in England and Wales, with its registered office at Cotton Court, Church Street, Preston, PR1 3BY.

1.4 You can contact us at app@statementapp.com or by post at the address above.

2. Who can use Statement

2.1 You must be at least 16 years old to create an account.

2.2 You must provide a valid email address and verify it during registration.

2.3 To make a Statement (post), you must connect at least one bank account or card through our open banking partners. Browsing the feed, giving Props, and commenting do not require a bank connection.

2.4 Your bank account must be a personal account supported by Plaid (US) or Yapily (UK). Business accounts are not currently supported.

2.5 You must provide accurate, current, and complete information when you register. If any of your information changes, update it.

2.6 You may only create one account. Creating multiple accounts, impersonating someone else, or using falsified information will result in removal from the Platform.

3. How Statement works

Your bank connection

3.1 To make a Statement, you connect a bank account through Plaid (US) or Yapily (UK). This connection is read-only. We receive transaction data - merchant name, amount, and date - and nothing more.

3.2 We never receive your bank login credentials, your account balance, or the ability to move your money. Your bank verifies you. We just see the transactions.

3.3 By connecting your bank, you authorize Statement to retrieve and store your transaction data for the purpose of enabling you to create Statements. Transaction data is encrypted and visible only to you until you choose to share it.

3.4 You can disconnect your bank account at any time through your settings or through your bank's own app or online banking.

Making a Statement

3.5 A Statement is a post linked to a verified bank transaction. When you make a Statement, you select a transaction and add your commentary, photos, or other content.

3.6 Every Statement includes the merchant name, the transaction amount, and the date. The amount is always visible - it's part of the proof.

3.7 You are responsible for the content you add to a Statement. The transaction data is verified, but your commentary, images, and opinions are yours. Make sure what you post is truthful and representative of the transaction.

3.8 Statements are public by default. They are visible to all Statement users unless you have blocked a specific user. Do not make a Statement about a transaction you don't want others to see.

4. Your content and conduct

What you own

4.1 You retain ownership of the content you create on Statement - your commentary, photos, and opinions. By posting, you grant Statement a worldwide, non-exclusive, royalty-free license to display, distribute, and promote your content on and through the Platform. This license ends when you delete your content or your account.

4.2 Transaction data associated with your Statements is factual information and is not subject to copyright.

What you agree not to do

4.3 When using Statement, you agree not to:

Post content that is false, misleading, defamatory, threatening, harassing, discriminatory, or obscene

Misrepresent yourself or your affiliation with any person or entity

Post content that infringes someone else's intellectual property, privacy, or other rights

Share another user's personal data without their consent

Use Statement for any illegal purpose, including fraud, money laundering, or violation of financial regulations

Attempt to access another user's account or transaction data

Interfere with the Platform's operation, including through viruses, malware, scraping, or automated access

Use Statement to promote or link to competing services without our permission

4.4 Violation of any of the above may result in content removal, account suspension, or permanent termination, at our sole discretion.

5. Props, comments, and interactions

5.1 You can give Props to Statements, comment on them, and follow other users. These interactions are visible to other users.

5.2 We reserve the right to remove comments or interactions that violate these Terms or that we consider harmful to the community.

5.3 You can block or mute other users at any time through the Platform's settings.

6. Intellectual property

6.1 The Statement name, logo, brand identity, and all related trademarks are the property of Statement Makers, Inc. You may not use them without our written permission.

6.2 The Platform - including its design, code, features, and content we create - is owned by Statement Makers, Inc. and protected by intellectual property laws.

6.3 You may share your own Statements externally (on other social platforms, messaging apps, etc.). When doing so, you must not alter or misrepresent the Statement or remove any attribution to the Platform.

7. Third-party services

7.1 Statement uses third-party services to operate, including Plaid, Yapily, cloud infrastructure providers, and app distribution platforms (Apple App Store and Google Play). These services have their own terms and privacy policies.

7.2 If you download Statement from the Apple App Store, you agree to Apple's Licensed Application End User License Agreement. If you download from Google Play, you agree to the Google Play Terms of Service.

7.3 We may link to third-party websites or resources. We are not responsible for the availability, accuracy, or content of those external services.

8. Fees

8.1 Statement is free to use for individual users. There are no subscription fees, paywalls, or hidden charges.

8.2 If we ever introduce paid features, we'll let you know clearly and they'll always be optional.

9. Limitation of liability

9.1 Statement is provided on an "as is" and "as available" basis. We do not guarantee that the Platform will be uninterrupted, error-free, or available at all times.

9.2 We are not responsible for:

Decisions you make based on content you see on Statement

The accuracy of transaction data provided by your bank through Plaid or Yapily

Any loss or damage resulting from your use of the Platform, except where caused by our negligence or willful misconduct

Third-party services, including your bank, Plaid, Yapily, or app stores

9.3 To the maximum extent permitted by law, Statement's total liability to you for any claim arising from your use of the Platform is limited to the amount you paid us in the 12 months preceding the claim (which, since the service is free, is zero).

9.4 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Privacy and data

10.1 Your use of Statement is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

10.2 By using Statement, you acknowledge that Statements are public content. Once you make a Statement, other users can see it, give Props, and comment on it. Think before you post.

11. Complaints

11.1 If you have a complaint, contact us at app@statementapp.com. We will acknowledge your complaint by email and tell you how long we expect to take to resolve it.

11.2 We ask that you cooperate with any investigation and provide the information we need to resolve the issue.

12. Changes to these Terms

12.1 We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice in the app before the changes take effect.

12.2 If you continue to use Statement after updated Terms take effect, you accept the revised Terms. If you don't agree with the changes, you can delete your account (see section 13).

13. Ending your relationship with Statement

If you want to leave

13.1 You can delete your account at any time by emailing app@statementapp.com with the subject line "Delete my account" from the email address associated with your account.

13.2 You can also disconnect your bank account at any time through your settings or through your bank's own app.

13.3 When you delete your account, we remove your profile, your Statements, and your data in accordance with our Privacy Policy.

If we need to end it

13.4 We may suspend or terminate your account if we believe you have violated these Terms, engaged in fraudulent activity, or acted in a way that harms the Platform or other users. We will notify you by email if we take this action.

13.5 We will terminate any account we discover is held by someone under the age of 16.

14. Governing law and disputes

14.1 If you are a US resident, these Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14.2 If you are a UK or EU resident, these Terms are governed by the laws of England and Wales. Nothing in these Terms affects your statutory rights as a consumer under applicable local law.

14.3 Any dispute arising from these Terms will be resolved through good-faith negotiation first. If we can't resolve it, disputes will be submitted to the courts of the applicable jurisdiction above.

15. General

15.1 If any part of these Terms is found to be unenforceable, the rest remains in effect.

15.2 Our failure to enforce any part of these Terms does not waive our right to enforce it later.

15.3 These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Statement regarding your use of the Platform.
