TERMS & CONDITIONS

Please read these Terms & Conditions carefully as they contain important information about your legal rights, remedies and obligations.

Who we are

1.1 Statement Makers, Inc (“Statement Makers, Inc”) is a social networking app that enables registered users (“Users”) to share verified transactions securely and interact with “Statements” made by others. Users can link their bank accounts securely via our partners Plaid and make a statement in reference to any transaction adding pictures and narration but not limited to spending. Plaid is a trusted third party provider. Information can be found at their website https://dashboard.plaid.com/

1.2 The Statement Makers, Inc platform (“platform”) refers to both the Statement mobile application ‘app’ and the website ‘site’ and all the information provided within it. The app is available for free on iOS and Android under the trademarked name ‘Statement’, and the website is currently located at https://www.statementapp.com/

1.3 The Statement Makers, Inc service (“Service”) available on our platform is provided to you by Statement Makers, Inc Limited (“Statement Makers, Inc”), a company registered in United States, with the Registered Office at One Sansome Street, San Francisco, CA 94104 1.3 Statement Makers, Inc can be contacted by email at info@statementapp.com or by post at One Sansome Street, San Francisco, CA 94104

The Service

2.1 Statement Makers Inc. users can publish verified Statements about their purchases and sales by linking text and images with a financial transaction.

2.2 All information displayed in a Statement is considered public information.

2.3 Statement Makers Inc. users can share a Statement made by themselves or by other users externally via other social and traditional media platforms and communication mechanisms.

2.4 Statement Makers Inc. users make Statements at their own discretion. Any consequences arising from the making of a Statement are the sole responsibility of the user.

2.5 Statements are visible to all Statement Makers Inc. users unless the maker of the Statement has explicitly blocked the user.

2.6 Statements are published in a manner that makes them visible to internet based search engines.

2.7 In order to surface transactions for the purposes of making a Statement, Statement Makers Inc. requires the user to link a bank account. The linking of an account grants Statement Makers Inc. the right to download and store transactions for that account on behalf of the user.

2.8 All stored transactions are encrypted and transaction data is visible only to the user who has linked the account. Statement Makers Inc. has no access to readable transaction data other than to serve the user’s Statement making activities.

2.9 Statement Makers Inc. considers Statements to be representations of factual information backed by verifiable transaction data. Statement Makers Inc. reserves the right to remove any Statements it deems inappropriate, inaccurate or misleading, and to remove users from the platform who make these Statements. The user must ensure that the textual information and images associated with a Statement is representative of the associated financial transaction.

2.10 Statement Makers Inc. users can comment on Statements and reply to comments. Statement Makers Inc. reserves the right to remove any comments it deems offensive, inappropriate, misleading or that it considers detrimental to the reputation of Statement Makers Inc. in any way.

Fees, limits, and user blocks

3.1 Your connected bank may set transaction limits. This means that your bank may show transactions that you can/may want to make Statements about which may later not be visible. This includes transactions that may have a pending status in your online banking.

3.2 Statement Makers, Inc may block or restrict any activity we deem unacceptable, such as the following:

Any breach of these Terms & Conditions or any other policies applicable to you;

Violation of any law, statute, ordinance, or regulation (for example, those governing financial services, consumer protections, unfair competition, anti-discrimination or false advertising);

Infringe our copyright, patent, trademark, trade secret or other intellectual property rights, or rights of publicity or privacy;

Create or control more than one user account for yourself without our express authorisation, through methods like: using a name that is not yours, using a temporary email address or phone number, or providing any other falsified personal information;

Act in a manner that is defamatory, trade libelous, threatening, harassing or discriminatory to other users, or groups or to Statement Makers, Inc;

Provide false, inaccurate or misleading information;

Send or receive what we reasonably believe to be potentially fraudulent money;

Refuse to cooperate in an investigation or provide confirmation of your identity or any information you provide to us;

Intentionally use our services in a manner that results in or may result in: complaints, disputes and claims, fees, fines, penalties or other liability or losses to Statement Makers, Inc;

Harass and/or threaten Statement Makers, Inc employees.

3.3 Statement Makers, Inc users may block or mute, and also unsubscribe from features and functions with the app.

(a) Within the settings of the platform there are clear options to select which will allow for you to block or mute other users.

(b) Within the settings of the platform there is an option to unsubscribe from marketing messages.

(c) To terminate your relationship with Statement Makers, Inc in its entirety, please write to us at info@statementapp.com

User access

4.1 We verify user access by verifying their email address. Users will create a Statement account by downloading the app, and providing their email address. They will receive an email confirmation link to verify the email account. We may request further details to verify users.

4.2 The access to or use of the Statement Makers, Inc platform may be subject to separate policies, standards or guidelines, or may require that you accept additional terms and conditions. An example will be, Terms & Conditions for your bank.

4.3 If you access or download the Application from the Apple App Store, you agree to Apple’s Licensed Application End User License Agreement.

4.4 If you access or download the Application from the Google Play Store, you agree to Google’s End User License Agreement.

4.5 You must provide accurate, current and complete information during the registration process.

4.6 You should not create more than one user account within Statement, this includes authorising another party to take over the group for you, purporting to be you.

4.7 You should be aware that “external links” are property of the company and we have the right to remove them from usage, at any given time.

Liability

5.1 Agreeing with our Terms & Conditions is mandatory for you to be able to access our service. In addition, we ask that you comply with the following rules when using the Service, and understand that any non-compliance means that you assume any liability as a result of it:

REPORT your phone to the necessary services (your phone provider, police service, insurance company etc) if you find that it has been compromised, or is lost or stolen;

DO NOT partake in any action that is offensive, abusive, defamatory, pornographic, threatening, or obscene;

DO NOT use our services to conduct any activity that is illegal, or intended to promote or commit an illegal act of any kind, including but not limited to violations of intellectual property rights, privacy rights, or proprietary rights of Statement Makers, Inc;

DO NOT purposely include any other user’s personal data;

DO NOT impersonate or misrepresent yourself or your affiliation with another user within a group, with the intention to defraud, deceive or mislead others.

5.2 You acknowledge and agree that violation of any of the above may result in the immediate termination of your Statement Makers, Inc access.

Your information and data

6.1 By use of our service you acknowledge and understand that the details you have provided are visible and accessible to Statement Makers, Inc, this is excluding your bank details.

6.2 We will not use your information for any other purposes, including marketing, unless you have provided your explicit consent to do so. (see Privacy Policy)

6.3 Marketing can be opted out of within the app.

6.4 Push notifications must be managed by you from within your device

6.5 Should you wish to remove your data from Statement Makers, Inc you have the right to do so (please see section 13). We will keep some of your data however where there is a legal or regulatory requirement on us to do so (please see the Statement Makers, Inc Privacy Policy).

Eligibility

7.1 The eligibility of a user is determined by the type of bank account held by that user and whether it falls within the scope of bank accounts accepted by our partners Plaid and is subject to Statement Makers, Inc’s risk appetite.

7.2 Plaid defines their scope as “... accounts that you access online or by mobile, such as personal and business current accounts, credit cards and online e-money accounts”.

7.3 Statement Makers, Inc risk appetite allows only for a U.S banks, and the account must be a personal account.

7.4 You should be over the age of 16.

7.5 Your bank account will also need to have the ability to share transaction information at user's request.

7.6 You must have a valid email address.

The internet and viruses

8.1 Due to the nature of the Internet, Statement Makers, Inc cannot guarantee the continuous and uninterrupted availability and accessibility of the Statement Makers, Inc platform. Statement Makers, Inc may decide to restrict the availability of our platform or certain parts of our service, if this becomes a necessary action, in view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure that our platform and service remains fit for purpose.

8.2 The Statement Makers, Inc Platform may contain links to third-party websites or resources (“Third-Party Services”). These third-party services may be subject to different terms and conditions and privacy practices, and therefore Statement Makers, Inc cannot be responsible or liable for the availability, accuracy of content or services of such Third-Party Services.

8.3 Any user found to intentionally facilitate any viruses, trojan horses, malware, worms or other computer programming routines that attempt to or may damage, disrupt, corrupt, misuse, detrimentally interfere with, intercept, or gain unauthorized access to any system, data, information of Statement Makers, Inc services will be removed from our Platform and services and may be subject to further action.

Complaints handling process

9.1 We hope that you do not have cause to complain, but we understand that instances may occur that leave you displeased or with a cause for concern. In this case, you have the right to raise a complaint to us. Statement Makers, Inc are easily contactable using the contact details in section 1, and we will address your concerns with an aim to resolve the issue. In the first instance we will acknowledge your complaint via email. We will advise at that point how long we expect to take to address your complaint.

9.2 In order to resolve your complaint quickly and efficiently you agree to cooperate with us and to provide the necessary information for us to investigate the matter.

Other terms that may apply

10.1 Your use of the service is subject to these Statement Makers, Inc Terms and Conditions, but also to the terms of the Privacy Policy.

Right to modify terms and conditions

11.1 Statement Makers, Inc reserves the right to modify these Terms & Conditions at any time in accordance with our business needs and requirements, under our sole discretion. If we make changes, we will post the revised Terms & Conditions on the Statement Makers, Inc platform and update the “Last Updated” date at the top of the page. If you disagree with the revised Terms & Conditions, you may no longer wish to use our services (see section 13), and can do so by contacting us (see section 1). It is your responsibility to check for any amendments to these Terms & Conditions.

11.2 We also recommend that you review these Terms & Conditions prior to raising any concerns or complaints.

11.3 We are regularly updating and upgrading the Statement Makers, Inc platform and service, and may release new features to comply with the law and to provide a better service for our customers.

11.4 We may introduce new platforms or services from time to time.

11.5 By agreeing to these Terms and Conditions you acknowledge Statement Makers, Inc’s right to make these changes.

Termination rights

12.1 You always have the right to terminate your access to the Statement Makers, Inc service without reason. You can do this by emailing xxx and following info: provide email address associated with your account, using the email subject 'delete my account'.

12.2 You can also terminate your relationship if you do not agree with any updated Terms & Conditions, or platform and service changes in the same way as above. If, however you do not terminate your Agreement before the date our revised Terms & Conditions become effective, your continued access to or use of the Statement Makers, Inc Platform will constitute acceptance of the revised Terms & Conditions.

12.3 As Open Finance gives you the control as to which platforms can access your bank data, you can terminate this relationship also. This would be done via your bank online banking or app.

12.4 We may terminate the relationship if we believe that you have engaged in any restricted activity, abuse of user access. If we do take this action, we will inform you via email.

12.5 We will terminate the relationship if we discover that an account is held by a minor under the age of 16 years old.

Suspending or withdrawing our Service

13.1 We make our service to individuals available free of charge on an “as is” basis.

13.2 We do not guarantee that our service, or any content on it, will always be available or be uninterrupted. We may restrict, suspend or withdraw the availability of all or any part of our service for business and operational reasons at any time without notice.
